Terms and Conditions

Asa member of #Membership, you have access to the full suite of #Memberships offering, including: (a) full access to our monthly Influencer parties, (b) a private professional photoshoot, (c) 2 tickets to our annual "Influencer of the Year" Gala, (d) free Social media verification on SPM’s #.bio app (launching in Q3 2023), (e) Discounts on Influencer Academy courses, (f) Free annual digital subscription to Hashtag Influencer Magazine.

You may also receive additional benefits and discounts with participating brands, retailers, influencers, affiliates, and service providers.

Your membership is non-transferable, non-refundable, and may not be resold.

To become a member of #Membership, you must:

(a)   Be a resident of the United States, at least 18 years of age or older as of the date of your registration; and
(b)  Have the capacity to enter into a legally binding contract.

Membership is subject to this Agreement, as well as any policies and procedures that SPM adopts or modifies from time to time. Any failure to abide by this Agreement or any policies or procedures implemented by SPM, any conduct detrimental to SPM, or any failure to act in a manner consistent with federal, state, or local laws may result in addition to any rights or remedies available to SPM in law or equity, in the termination of your membership, as well as any other benefits earned in connection there with, in SPM’s sole discretion.

Membership is a monthly membership. By accepting these terms, youagree to be a member for one (1) month. Your membership shall renewautomatically on the first of the month for a successive one calendar monthterm. If you do not want this agreement to renew, you must email gui@socialpayme.comwith the subject line “#Membership Cancellation”. You may be asked to provideadditional details for confirmation.

By joining #Membership, you authorize SPM to charge your creditcard for the amount indicated when you join, including and applicable state,county, or local tax/service charges.

You further acknowledge and agree that you are personally responsible for payment of all applicable dues until your membership is cancelled or expires.

Late payment will result in a suspension of your privileges until you pay all amounts outstanding in full. If a suit is instituted to recover any amounts due to us, you agree to pay interest on the amounts owed at the legal rate, in addition to monthly service charge, collection fees, and attorney’s fees accrued by us.

We may terminate #Membership for cause at any time. If you conduct yourself in an unbecoming manner on the premises at one of our events or offerings, fail to pay dues and charges, or violate any term of this Agreement, your membership may be classified as high risk (resulting in higher dues), suspended, or cancelled for cause.

It is understood and agreed that if we revoke your membership privileges with cause, or if you resign, no refund will be made. Termination of membership shall be a full and complete release of SPM and participating courses from any and all liability, claims, demands, actions or cause of actions arising out of, or related to, your payment of monthly dues or membership status.

Your information may be used by SPM and its partners and assignees to facilitate your membership, and to communicate with you regarding your membership and offers from SPM and its partners and assignees.

6.     Disclaimer& Limitation of Liability

SPM MAKES NO WARRANTY OF ANY KIND REGARDING #MEMBERSHIP, WHICH IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ANY REPRESENTATION OR WARRANTY THAT #MEMBERSHIP WILL BE ERROR-FREE. SPM FURTHER DISCLAIMS ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS AND TIMELINESS OF ANY CONTENT OR INFORMATION DISTRIBUTED WITH RESPECT TO #MEMBERSHIP. WE EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, INCLUDING IMPLIED WARRANTIES AND CONDITIONS OF MERCHANT ABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND THOSE ARISING BY STATUTE OR OTHERWISE INLAW OR FROM A COURSE OF DEALING OR USAGE OF TRADE. SOME STATES DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THIS WARRANTY DISCLAIMER MAY BE LIMITED UNITS APPLICABILITY TO YOU. IN NO EVENT SHALL SPM BE LIABLE HEREUNDER FOR INCIDENTAL, SPECIAL, INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY FOR SUCH DAMAGES. SPM'S TOTAL LIABILITY FOR DAMAGES UNDER THIS AGREEMENT SHALL BE LIMITED TO $99.00 (NINETY-NINE DOLLARS AND 00/100) PER MONTH YOU HAVE BEEN ENROLLED WITH A MAXIMUM OF THREE MONTHS OF ENROLLMENT FOR A TOTAL OF $297.00 (TWO HUNDRED AND NINETY SEVEN DOLLARS AND 00/100).

We may, from time to time, make changes to the membershipoffering, including both adding and subtracting certain benefits. SPM willprovide adequate notice when adding or subtracting benefits.

We reserve the rightat all times to discontinue or modify any part of this Agreement, as we deemnecessary or desirable. Additionally, we reserve the right at all times to addor remove services or to discontinue #Membership. We suggest that you reviewthese Terms from time to time to ensure that you are aware of any updates wemake to these Terms.

You agree to indemnify and hold SPM harmless from any loss(including attorney's fees) or liability for personal injury or propertydamage, resulting from your acts arising out of the use of #Membership.

If any provision of these Terms is held invalid, the remaindershall not be affected thereby if such remainder would then continue to conformto the terms and requirements of applicable law.

These Terms shall be governed by and construed in accordance withthe laws of the State of Florida. In the event that you or we cannot resolve a dispute arising outthese Terms and if the dispute cannot be settled through negotiation, theParties agree first to try in good faith to settle the dispute by mediationbefore resorting to arbitration, litigation, or some other dispute resolutionprocedure.

A written request shall be made by one party to the other party toinitiate the resolution process. The Parties further agree that these Termsshall remain in effect until such disputes are resolved or settled by theappropriate judicial process.
